Bangor Area Alumni Association


ARTICLE I-ORGANIZATION
 
1.1 The Bangor Area High School Alumni Association, hereinafter referred to as the "Association," shall be a nonprofit corporation organized and existing under the laws of the Commonwealth of Pennsylvania.

 

ARTICLE II - OFFICE
 
2.1 The principal address of the Association shall be P. O. Box 673, Bangor, Northampton County, Pennsylvania 18013.
 
2.2 The association may also have offices at such other places as the Board of Directors may from time to time assign.

 

ARTICLE III - MEMBERS
 
3.1 There shall be two classes of members of the Association whose voting and other rights and interests are as follows:
 
a.) Charter member - Any person who attended Bangor Area High School since its founding in 1885 regardless whether or not that person graduated, and has paid the annual fee before (month) and who remains in good standing of the Association.
 
(b.) Regular member - Any person who graduated from Bangor Area High School since its founding in 1885, and has paid the annual fee after November 1,1996 and remains a member in good standing of the Association.
 
(c.) Associate Member - Any person with an interest in Bangor Area High School Association, not necessarily a graduate or an attendee of the school, who has paid the annual fee and remains a member in good standing of the Association.
 
(d.) Life Member - Any person with an interest in Bangor Area High School and/or the Association, not necessarily a graduate or an attendee of the school. The Life Membership fee shall be One Hundred ($100.00) Dollars.
 
3.2 Beginning with the Bangor Area High School graduating class of 1996, and each class thereafter, the Association shall invite those eligible students to join the Association at no charge. For those graduates, the annual fee shall be waived for the period beginning with the day of graduation until September 1 of the following calendar year (a period of approximately 14-1/2 months).

 

3.3 The Association membership includes any person who graduated from or attend Bangor Area High School since its founding in 1885. All members may attend Association meetings and have a voice in the activities of the Association and may vote for officers.

 

3.4 All members shall pay membership dues in such amounts and payable at such times as the Board of Directors may by resolution prescribe.

 

 

ARTICLE IV - MEETINGS OF MEMBERS
 
4.1 An Annual Meeting of the members of the Association shall be held each year at such place and on such day and hour as the Board of Directors may determine.

 

4.2 Notice of the Annual Meeting of the Association shall be given by mail or other means available to all members in good standing as of the date of said notice, said notice to be directed to the last recorded address of each member as shown on the membership rolls of the Association.

 

4.3 Special meetings of the members of the Association may be called by the President or by action of the Board of Directors. Notice of special meetings shall be given as in Section 4.4 herein below.

 

4.4 In addition to any other notice required here-under, notice of all meetings of the members of the Association shall be given by published one (1) time in at least two (2) newspapers of general circulation in the Bangor area not less than seven (7) days prior to the meeting.

 

4.5 Those members of the Association present at any meeting shall constitute a quorum for the transaction of business.

 

4.6 When a quorum is present, the vote of the majority of the members present shall decide any question brought before such meeting, except in the case of amendment of these Bylaws when the provisions of Article X herein below shall apply.

 

ARTICLE V - DIRECTORS

 

5.1 The management and administration of the Association shall be vested in a Board of Directors, which Board may exercise all such powers of the Association and do all such lawful acts and things as are not by Statute, the Articles of Incorporation or by these Bylaws directed or required to be exercised or done by the members.
 
5.2 The Board of Directors shall consist of a group of Regular Members of the Association selected as follows: seven (7) members nominated and elected as provided in this Article. Additionally, an Administrator of the Bangor Area School District, appointed by the Association Board of Directors, shall serve as a nonvoting advisor. This Advisor may neither hold office in nor sit on the Board of Directors of the Association while serving in this capacity.
 
5.3 The Directors required under Section 5.2 (a) above shall be elected by the members of the Association at the Annual Meeting.
 
5.4 The Directors required under Section 5.2 (a) above shall serve until their successors are elected as follows: three (3) Directors shall serve for a term of two (2) years; and four (4) Directors shall serve for a term three (3) years.
 
5.5 Vacancies on the Board of Directors shall be filled by a majority vote of the remaining directors of the Board even though less than a quorum, and each Director so elected shall hold office through the term of the replaced Director.

5.6 Any Director who is absent from three (3) consecutive meetings of the Board of Directors may be removed as a Director. The removal shall be accomplished by notice of such removal given by the remaining Directors to the one so removed, the removal to be effective upon the mailing notice.

5.7 The Board of Directors shall meet (1) time per year beginning in September.

5.8. Special meetings of the Board of Directors may be held on the call of the Chairman or upon the written request of four (4) or more Directors.

5.9 Notice of each meeting of the Board of Directors shall be given by mail, or by other means available; said notice to be directed to the last recorded address of each Director as shown on the membership rolls of the Association, said notice to be sent not less than seven (7) days prior to said meeting.

5.10 A majority of the Directors of the Association shall constitute a quorum for the transaction of business by the Board of Directors.

5.11 When a quorum is present, vote of the majority of the Directors present shall decide any question brought before a meeting of the Board of Directors.

 

 

ARTICLE VI - OFFICERS

 

6.1 The officers and duties of said officers of the Association shall consist of the following:
 
(a) President - oversees the day-to-day operations of the Association and its officers, and ensures that special events proceed as planned.
 
(b) 1st Vice President - assists the President and oversees the committees. In the event of the absence, resignation or removal of the President, the 1st Vice President assumes the President's role until a new President is elected.

(c) 2nd Vice president - shall assist the President and preside at all meetings in the absence of the President and 1st Vice President and will assume the duties thereof.

 
(d) Secretary - records and distributes the minutes of all meetings.
 

(e) Assistant Secretary - assists the Secretary and assumes all duties in the absence of the Secretary.

 
(f) Treasurer - handles all budgeting and financial matters.
 
(g) Assistant Treasurer - assists the Treasurer and assumes all duties in the absence of the Treasurer.

6.2 Election of Officers - Beginning with the election in 1996, the officers so elected shall serve a term of two years and until their respective successors are elected and qualified. Officers may be reelected for an unlimited number of terms and may resign at any time. A special meeting must be called to vote in a new officer. Removal of an officer may take place by a majority vote at a special meeting.

 

6.3 The officers of the Association shall be installed by the Board of Directors at the next regular meeting of the Association.

 

6.4 The officers of the Association shall have the powers and shall perform the duties customarily attached to their respective offices or as may be prescribed by these Bylaws or as may be assigned by action of the Board of Directors.

 

ARTICLE VII - COMMITTEES

 

7.1 There shall be such standing committees as the Board of Directors shall from time to time establish by resolution adopted at regular or special meetings of the Board of Directors. In addition to the standing committees the President of the Association may appoint temporary committees to aid in the administration of the Association.
 
(a.) Membership Committee. This Committee shall maintain and strive to build membership through member solicitation mailings and phone efforts. The Committee also maintains the Association membership list.

(b.) Scholarship Committee. This Committee shall determine these criteria necessary for a student to qualify for a scholarship provided by the Association.

(c.) Fundraising Committee. This Committee shall develop ways and means to financially support the goal of the Association.

(d.) Athletic Hall of Fame Committee. This Committee shall coordinate and assist the selection committee with the Athletic Hall of Fame. In addition it shall be responsible for planning the Annual Hall of Fame Celebration.
 
(e.) History/Publicity Committee. This Committee shall keep records of any pertinent activities of the Association and report such activities to the Association membership, and to the general public if appropriate. This Committee shall also research available archives for information that may be of interest to Association members regarding any Bangor Area High School alumnus.
 
f.) "1885 Club" . This Committee shall be responsible for the coordination and selection of outstanding Alumni.
 
7.2 The President of the Association shall be a member ex-officio of all committees of the Association,
 
7.3 Membership in each committee is on a volunteer basis and any number of members may serve on a given committee. A volunteer committee member may also serve on any other committee by virtue of volunteering or by appointment.

 

ARTICLE VIII - FISCAL YEAR

 

8.1 The fiscal year of the Association shall run from September 1 through August 31.

 

ARTICLE IX - PURPOSES, OBJECTIVES, POWERS, GOALS AND MISSION

 

9.1 This Association is organized exclusively and is intended to operated only for educational purposes, and it is intended to qualify under Section 501(c)(3) of the Internal Revenue Code of 1954 as it may be amended or of the corresponding provisions of any future United States Internal Revenue Law, and to distribute funds to the Bangor Area School District, its students or graduates for the purpose of advanced educational pursuits or to provide assistance in the field of education, to further educational ideas, to assess and assist in meeting educational needs of the Bangor community, and to promote public awareness of the advantages of a good educational system.
 

9.2 The Mission of the Bangor Area Alumni Association shall be to further the educational ideals of the community, to preserve the heritage of the school experience and to proclaim the achievements of alumni and faculty.

 
9.3 The Goals of the Association are:
 
(a) To foster alumni pride by promoting a sense of belonging and loyalty to a unique community of people.
 
(b) To enlist the support of alumni and community through service, promotion, advocacy and financial contributions.

 

9.4 The Objectives and Powers of the Association are:
 
(a.) To give grants and/or scholarships.
 
(b.) To honor individuals by electing to the Athletic Hall of Fame and "1885" Club, graduates who have made a significant contribution to the Athletic & Academic Programs of the Bangor Area School District.
 
( c.) To receive by gift, grant, devise, bequest or otherwise, from any public or private sources, personal or real property, and to hold, administer, sell, invest, reinvest, manage, use disburse, and distribute, and apply the income and/or principal of the same in accordance with the directions and intent of the donor or donors of such property, or, in the absence of such directions, as the Association may deem best from time to time, for the promotion of any or all the foregoing purposes.
 
(d.) To neither receive nor accept any grant, donation or gift, if same is conditioned or limited in such manner as shall require the disposition of the income of principal thereof to any person or organization so as to jeopardize the Federal Income Tax exemption of the Association pursuant to Section 501(c)(3) of the Internal Revenue Code of 1954 or of any future Internal Revenue Law.
 
(e.) To organize and operate exclusively for education purposes and to allow no part of the Association's net earnings to inure to the benefit of, or to be distributed to the incorporators of the Association, its directors, officers or other private persons, except that the Association shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purpose set forth herein.
 
(f.) To allow no substantial part of the activities of the Association to involve the on of propaganda, or otherwise attempting to influence legislation; and not to participate in, or intervene in (including publishing or distribution of statements) and political campaigns on behalf of any candidate for public office.
 
(g.) The signature of two (2) of the four (4) elected officers shall be required on all financial transactions.
 
(h.) Upon the dissolution of the Association after paying or making provision for the payment of all the liabilities of the corporation, to dispose of all of the assets of the corporation exclusively for the purposes of the corporation, in such manner, and to such organization or organizations, organized and operate exclusively for education purpose, as shall at the time qualify as an exempt organization or organizations under Section 501(c)(3) of the Internal Revenue Code of 1954 (or its successor); and to dispose of any such assets not so disposed of by paying the same to the Bangor Area School District.
 
(i.) The member, officers, directors, committee members, employees and persons served by the Association shall be selected entirely on a nondiscriminatory basis with respect to age, sex, race, religion, national origin, or sexual orientation.
 
ARTICLE X - AMENDMENTS

 

10.1 These Bylaws may be amended with approval be the Board of Directors and by a two-thirds vote of the members present at any meeting of the Association.
